Agreement to Terms
Welcome to DreamPhones. These Terms of Service ("Terms") govern your access to and use of our website, products, and services operated by SoulHeal Technology ("we," "us," or "our"), including DreamPhones sleep headphones, DreamPhones Focus headphones, and the DreamApp mobile application.
By accessing our website or purchasing our products, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services. Our Privacy Policy explains how we handle your personal information, including health and biometric data, and forms part of these Terms.
Important: Not a Medical Device
DreamPhones products are consumer wellness products. They are not medical devices. They are not intended to diagnose, treat, cure, or prevent any disease or medical condition — including ADHD, insomnia, or anxiety — and they are not a substitute for medication, therapy, or professional medical advice. Statements such as "19% steadier focus, measured by HRV" are based on an internal pilot study, not a clinical trial, and individual results may vary.
Please read the "DreamPhones Devices — Use and Safety" section below before using your headphones. If you are pregnant, have an implanted medical device, or have any medical condition, consult a qualified healthcare provider before use, and stop using the product if you experience discomfort.
Eligibility
You must be at least 18 years old or the age of majority in your jurisdiction to use our services or make purchases. By using our services, you represent that you meet these requirements.
Mobile App License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the DreamPhones mobile application on devices that you own or control, solely for your personal, non-commercial use.
This license does not allow you to:
- Distribute, sublicense, or make the app available over a network where it could be used by multiple devices at the same time
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the app
- Copy, modify, or create derivative works of the app
- Remove, alter, or obscure any proprietary notices in the app
App Store Terms
If you downloaded the app from Apple's App Store, you acknowledge that:
- These Terms are between you and SoulHeal Technology, not Apple. SoulHeal Technology is solely responsible for the app and its content.
- Apple has no obligation to provide maintenance or support for the app.
- In the event of any failure of the app to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price (if any) of the app. Apple has no other warranty obligation with respect to the app.
- Apple is not responsible for addressing any claims relating to the app, including product liability, regulatory compliance, or intellectual property claims.
- Apple and its subsidiaries are third-party beneficiaries of these Terms, and Apple will have the right to enforce these Terms against you.
If you downloaded the app from Google Play, you also agree to Google Play's Terms of Service. In the event of a conflict between these Terms and Google Play's terms regarding the app, Google Play's terms will apply to the extent of the conflict.
If you downloaded the app directly from our website as an APK, these Terms apply in the same way. App updates for direct downloads may need to be installed manually, and we recommend keeping the app up to date for safety and reliability.
App Purchases and Subscriptions
Some app features may require a one-time purchase or a paid subscription.
- Platform purchases: Purchases made through Apple's App Store or Google Play are billed and managed by Apple or Google. Subscriptions renew automatically until you cancel them in your App Store or Google Play account settings, and refunds for those purchases are governed by the platform's policies.
- Direct purchases: Purchases made directly from us are billed by us. You can cancel a subscription at any time, and cancellation takes effect at the end of the current billing period.
- Price changes: Prices may change. If a price change affects an active subscription, we will give you advance notice, and the change will take effect no earlier than your next renewal.
Account Responsibilities
If you create an account with us, you are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use
- Ensuring your account information is accurate and current
We reserve the right to suspend or terminate accounts that violate these Terms.
Account Deletion
You may request deletion of your account and all associated personal data at any time by visiting our Delete My Data page or by emailing contact@dreamphones.ai. Account deletion requests are processed within 30 days. Upon deletion, your session history, chat messages, health data, and account information will be permanently removed.
Products and Orders
Product Information
We strive to display our products accurately, but we cannot guarantee that colors and details on your device will match the actual product exactly. Product descriptions, features, and specifications are subject to change without notice.
Orders and Pricing
Orders are placed through our online store at store.dreamphones.ai, which is hosted by Shopify. All orders are subject to acceptance. We reserve the right to refuse or cancel any order for any reason, including but not limited to product availability, errors in pricing or product information, or suspected fraud.
Prices are subject to change without notice. You agree to pay all charges at the prices in effect when incurred.
Payment
By providing payment information, you represent that you are authorized to use the payment method and authorize us to charge your payment method for the total amount of your order.
Shipping and Delivery
Where we advertise free shipping, it applies to the outbound shipment of your order. Shipping timeframes are estimates only and are not guaranteed. We are not liable for delays caused by shipping carriers, customs, weather, or other factors outside our control. You are responsible for any import duties or taxes charged by your country.
Risk of loss and title for products pass to you upon delivery to the carrier.
Refund Policy
We offer a 30-day money-back guarantee on DreamPhones products from the date of delivery. For EU customers, a 14-day cooling-off period applies regardless of product condition.
Return Eligibility
To be eligible for a return, items must be:
- In original condition — normal, careful use while trying the product during the 30-day period will not disqualify your return
- In original packaging with all accessories
- Accompanied by proof of purchase
How to Initiate a Return
- Contact us at contact@dreamphones.ai to request a return authorization
- Once approved, ship the item to our return address
- Include your order number and return authorization in the package
Items sent without prior authorization may not be accepted. Unless your item arrived damaged or defective, you are responsible for return shipping costs.
Non-Returnable Items
The following items cannot be returned:
- Products that are damaged, modified, or show wear beyond normal trial use
- Items without original packaging
- Gift cards
- Items marked as final sale
Refund Processing
Once we receive and inspect your return, we will notify you of the approval status. Approved refunds will be processed within 10 business days to your original payment method. Your bank or credit card company may require additional time to post the refund to your account.
Exchanges
If you received a defective or damaged item, please contact us immediately at contact@dreamphones.ai and we will arrange a replacement.
Limited Warranty
We warrant DreamPhones hardware (including DreamPhones sleep headphones and DreamPhones Focus headphones) against defects in materials and workmanship for one (1) year from the date of delivery, when used as described in the product documentation and these Terms.
What Is Not Covered
- Damage caused by misuse, accident, neglect, or use contrary to the safety guidelines below
- Unauthorized repair, opening, or modification of the device
- Normal wear of consumable parts, such as ear cushions, and cosmetic damage that does not affect function
- Liquid damage and damage from chargers or accessories we did not supply
How to Make a Warranty Claim
Email contact@dreamphones.ai with your order number, proof of purchase, and a description of the issue. If the claim is covered, we will, at our option, repair the product, replace it, or refund the purchase price.
This warranty gives you specific legal rights, and you may have other rights that vary by jurisdiction. It is in addition to — and does not limit — any non-waivable statutory warranty or consumer guarantee you have under the laws of your country (including in the EU, the UK, and Australia).
Intellectual Property
All content on our website, including text, graphics, logos, images, and software, is the property of SoulHeal Technology or its licensors and is protected by intellectual property laws.
You may not reproduce, distribute, modify, or create derivative works from our content without our express written permission.
Prohibited Conduct
You agree not to:
- Use our services for any unlawful purpose
- Attempt to gain unauthorized access to our systems
- Transmit viruses, malware, or other harmful code
- Interfere with or disrupt our services
- Impersonate any person or entity
- Collect user information without consent
- Use our services to send spam or unsolicited communications
- Reverse engineer, tamper with, or intercept communications between the app and DreamPhones hardware
- Use the app with unauthorized or modified hardware
- Abuse, harass, or transmit harmful content through the Dr. Sophie chat feature
DreamPhones Devices — Use and Safety
Intended Use
DreamPhones sleep headphones and DreamPhones Focus headphones are consumer wellness devices that deliver gentle transcutaneous auricular vagus nerve stimulation (taVNS) through skin-friendly Gold Contacts at the ear, combined with audio and guided breathing, to support relaxation, sleep, and focus readiness. They are not medical devices and are not intended to diagnose, treat, cure, or prevent any disease or medical condition, including ADHD.
Contraindications
Do not use DreamPhones devices if you:
- Have an implanted electronic device such as a pacemaker, defibrillator, or cochlear implant
- Have a history of seizures or epilepsy
- Are pregnant or nursing
- Have metal implants in the head or neck area
- Have skin lesions, wounds, or irritation at the electrode contact points
Consult with a healthcare professional before use if you have any medical conditions or concerns.
Safe Use Guidelines
- Do not use the device while operating vehicles, machinery, or during any activity that requires full attention
- Do not exceed the recommended stimulation intensity levels set by the app
- Discontinue use immediately if you experience pain, dizziness, skin irritation, or any unusual sensation
- Keep the device dry and do not use it in water or excessively humid environments
- Do not attempt to open, repair, or modify the headset
- Use only the provided charging cable. The USB port is for charging only
Firmware Updates
The DreamPhones headset may receive over-the-air (OTA) firmware updates to improve functionality, fix bugs, or enhance safety. By using the device, you consent to the automatic download and installation of firmware updates. We recommend keeping your device connected to the app periodically to receive updates.
No Medical Advice
DreamPhones does not provide medical advice. The Dr. Sophie AI wellness companion is for general wellness guidance only and is not a substitute for professional medical advice, diagnosis, or treatment. If you have a medical emergency, call emergency services immediately.
Apple Health, Android Health Connect, Sleep Data, and Camera Biometrics
Certain app features rely on health-related and camera-based measurements. These features are optional and only used with your permission.
- Apple Health access on iOS and Health Connect access on Android are permission-based and can be revoked at any time in the applicable device settings.
- With your permission, the app may access heart rate variability (HRV), resting heart rate, and sleep data to support health dashboards, sleep trends, and session-related reports.
- With your permission, camera-based (rPPG) measurements are used to estimate wellness metrics, such as heart rate and HRV, for app features such as session insights.
- We do not sell Apple Health data, Health Connect data, sleep data, or biometric data, and we do not use this data for advertising or ad targeting.

Disclaimer of Warranties
EXCEPT FOR THE EXPRESS LIMITED WARRANTY DESCRIBED ABOVE, OUR SERVICES AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that our services will be uninterrupted, error-free, or secure, or that any defects will be corrected.
Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you. Nothing in these Terms limits any non-waivable consumer rights you have under the laws of your country or state.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOULHEAL TECHNOLOGY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF OUR SERVICES OR PRODUCTS.
Our total liability shall not exceed the amount you paid for the product or service giving rise to the claim.
Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by our negligence, or for fraud.
Indemnification
You agree to indemnify and hold harmless SoulHeal Technology and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or violation of these Terms.
Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict of law provisions.
If you have a dispute with us, please contact us first at contact@dreamphones.ai — most concerns can be resolved quickly and informally. If we cannot resolve a dispute within 30 days, any dispute arising from these Terms shall be resolved in the state or federal courts located in King County, Washington.
If you are a consumer outside the United States, nothing in this section deprives you of the protection of mandatory consumer-protection laws of your country of residence, or of your right to bring proceedings in your local courts where the law gives you that right.
Export Controls
Our products and software are subject to United States export control and sanctions laws. You agree not to export, re-export, or use them in violation of those laws, and you represent that you are not located in a country subject to a U.S. government embargo and are not on any U.S. government list of prohibited or restricted parties.
Severability and Waiver
If any provision of these Terms is found to be unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.
Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website, and we will update the "Last updated" date above. If a change materially affects your rights, we will provide reasonable advance notice, for example by email or in-app notice. Your continued use of our services after changes take effect constitutes acceptance of the modified Terms.
